3. Client Responsibilities
Clients availing our services agree to:
Provide accurate and complete project requirements
Supply all necessary content, images, credentials and information on time
Review and approve project milestones promptly
Ensure that all content shared is legal and does not infringe third-party rights
Any delay from the client’s side may extend the project timeline.
4. Payment Terms
Payments must be made as per the quotation or agreement.
Projects typically require advance payment and milestone-based installments.
Work may be paused in case of delayed payments.
All fees are exclusive of applicable taxes (GST).
Payments once made are non-refundable, except in cases where no work has begun.
5. Project Timelines
Timelines provided by AdyaSoft are based on the client delivering required materials on schedule.
Delivery dates may shift if:
Client delays content or feedback
Scope is changed or expanded
Technical limitations arise
We always strive to meet deadlines while maintaining high-quality standards.
6. Revisions & Modifications
Revisions included in a project depend on the package selected.
Any additional changes beyond the agreed scope will be charged separately.
Major redesign requests after approval of the initial layout will incur additional fees.
7. Intellectual Property Rights
Upon full payment, ownership of the final website, design, or content developed for the client is transferred to the client.
AdyaSoft retains ownership of:
Development frameworks
Reusable code modules
Internal tools and resources
AdyaSoft may showcase completed projects in its portfolio unless the client requests otherwise in writing.
8. Website Hosting & Third-Party Tools
AdyaSoft may assist in integrating:
Hosting
Domain purchase
Plugins
Payment gateways
APIs
Third-party apps
We are not responsible for:
Server downtime
Third-party fees
Plugin/theme licensing
Third-party service failures or data loss
Clients must maintain active licenses for paid plugins and themes.
9. Website Security & Backups
AdyaSoft takes reasonable measures to secure websites, but:
No website is 100% hack-proof
Clients are responsible for renewals, backups and updates unless a maintenance plan is purchased
AdyaSoft is not liable for security breaches caused by hosting, outdated plugins, weak passwords, or third-party vulnerabilities.
10. Limitation of Liability
AdyaSoft will not be liable for:
Loss of data
Loss of business, profits or reputation
Delays caused by third-party providers
Issues resulting from client-side changes
Technical issues beyond our control
Our total liability will not exceed the amount paid for the specific service.
11. Cancellation & Termination
A project may be terminated if:
Client violates these Terms
Payments are not made as agreed
Client remains unresponsive beyond a reasonable period
Upon termination:
All completed work must be paid for
Advance amounts will not be refunded
Partially completed work may be handed over at our discretion
12. Confidentiality
All information shared by either party shall remain confidential and used only for project purposes.
AdyaSoft will not share or misuse client data.
13. Amendments to Terms
AdyaSoft reserves the right to update or change these Terms at any time.
Continued use of the website after changes implies acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of India.
Any disputes shall be subject to the jurisdiction of the courts in Bengaluru, Karnataka.
